Timothy G. Dietrich

Tim Dietrich provides strategic advice for businesses, financial institutions and governments in a number of areas, including organization and governance and the structuring, negotiation, and closing of corporate and commercial financial transactions. Tim continues to advise financial institutions and businesses in situations involving financial distress and to provide a wide array of advice to governments, including utilities matters.

Tim leads Barley’s Food & Agribusiness Industry Group, and he is also actively involved with the firm’s Senior Living Industry Group. During the years 2008 through 2013, Tim served as Barley Snyder’s managing partner and initiated Barley’s process improvement program called Practice Excellence®. This firm-wide program focuses on quality, knowledge and service. The program also emphasizes efficiency and standardization by applying lean principles to our practice. The program began in 2008 and is being led by Practice Excellence® “Champions” of each of our practice groups.

Food & Agribusiness
Tim is utilizing his knowledge of FDA, USDA and other regulatory requirements to assist clients in the food and agriculture areas with their transactional needs and compliance with the more rigorous requirements of the Food Safety Modernization Act.

  • Represented buyer in multi-state, $140 million acquisition of agricultural production and processing facilities.
  • Represented food processor in development of $330 million processing facility, including resolution of sewage treatment expansion permitting and construction issues.
  • Represented food processor in development of $40 million processing facility, including resolution of sewage treatment expansion permitting and construction issues.
  • Represented food processors in facility expansions and modernizations.
  • Represented food processor in addressing USDA – Food Safety and Inspection Service concerns regarding Salmonella and potential recall.
  • Counsel to food processor with respect to FDA testing, recall request and warning letter regarding Salmonella.
  • Advising various food processing clients on food co-packing contracts.
  • Counsel to lender in $40 million secured revolving facility and $45 million unsecured revolving facility for food processors.
  • Counsel to borrower in $83 million secured facilities for working capital and construction for food processor.
  • Counsel to food and agribusiness client for long-term, joint venture organic animal feed supply agreement.
  • Negotiation of contractual issues in food processing supply chain, including for organic and GRAS (generally recognized as safe) ingredients.
  • Negotiation of agreements involving product development, licensing, and distribution.
  • Counsel in FDA and USDA inspection settings and in connection with product recalls and insurance claims.

Business Law
Tim’s practice involves general corporate counseling and representation in acquisitions and other transactions for both privately and publicly held businesses. In some instances, he serves clients in a “general counsel” role, providing representation on general business, corporate and financial matters, while also assisting in the coordination of litigation, regulatory compliance and other matters. He has devoted a significant portion of his practice to counseling businesses involved in the development, manufacturing and marketing of medical devices.

Some of Tim’s representative transactions in his business practice:

  • Representation of manufacturers in the formation and termination of product distribution relationships, both domestic and international.
  • Negotiation of agreements involving various combinations of research and development, product development, purchasing and strategic sourcing, licensing and distribution for medical and other technologies and food and agribusiness firms.
  • Representation of purchasers and sellers in corporate acquisitions, particularly asset purchases of early-stage technology firms.
  • Assisting clients with critical regulatory and quality assurance matters including government inspections and recalls.
  • As a member of the Senior Living Industry Group, he has advised senior living organizations on a number of matters, including complex organizational affiliations, as outlined in the Senior Living section below.

Senior Living
Tim has represented senior living facilities in various matters, including:

  • Represented multiple parties in negotiation, due diligence and document drafting for multi-party affiliation of senior living facilities, including addressing Hart-Scott-Rodino clearance with the Federal Trade Commission.
  • Creation of holding company structure for senior living community to facilitate innovation and services expansion, as well as acquisitions.
  • Representation of a large senior living community in acquisition of control of another non-profit CCRC and its long-term care facilities.
  • Representation of multiple senior living organizations in development and construction projects, including land use approvals, design and construction contract negotiations (and disputes), and financing.
  • Representation of charitable foundations affiliated with senior living communities in various regards, including establishment of scholarship fund for employees.
  • Borrower counsel in approximately $70 million financing which refinanced existing indebtedness and also financed payment for acquisition of control for previous nonprofit controlling member.

Creditors’ Rights and Bankruptcy
Tim began his career as a bankruptcy lawyer and continues to give strategic advice and representation to clients facing various aspects of distressed financial situations. His creditors’ rights and bankruptcy practice is currently focused on secured and unsecured creditor representation, including in bankruptcy proceedings, loan workouts and forbearance negotiation. He has represented businesses as debtors in bankruptcy and collection proceedings, including debtor representation in workouts and distressed settings, including Chapter 11 reorganization cases resulting in plan confirmations. Outside of bankruptcy, he has represented creditors in foreclosure, confession of judgment, execution, debt sale and assignment matters. He has lectured for the Pennsylvania Bar Institute and the Eastern District of Pennsylvania Bankruptcy Conference on Chapter 11 issues.

Recent representative matters:

  • Defense of pre-bankruptcy purchaser of industrial facility in a Section 548 fraudulent conveyance action brought by liquidating trustee in bankruptcy, seeking over $6 million, which was settled for litigation costs.
  • Representation of secured lender in Chapter 11 case of firm engaged in publishing, including liquidation of intellectual property rights.
  • Representation and defense of secured creditor in Chapter 11 proceeding and related lender liability cases regarding failed vehicle floor plan borrower.
  • Representation of secured creditors in a number of workout and Chapter 12 bankruptcy cases for agricultural operations.
  • Representation of secured lender /letter of credit issuer for revenue bonds in Chapter 11 case of printer.

Harold A. Eastman Jr.

Harry Eastman has practiced law in the Gettysburg and Adams County area for his entire legal career of more than 30 years, concentrating his law practice in the areas of municipal law, zoning and land use, real estate, and trusts and estates.

As his practice has evolved, Harry has gained experience in a variety of practice areas. He has served as the municipal solicitor for the Borough of Gettysburg since 1999, and he has served as the solicitor for the Borough of New Oxford for more than 25 years. He has also served as the solicitor for several zoning hearing boards, helping him to develop a zoning and land use practice for the last 30 years.

In his real estate practice, Harry has represented clients in both residential and commercial transactions. He has developed a practice representing clients in the historic preservation and agricultural conservation of real estate. To complement his real estate acquisition practice, Harry is a licensed title agent with Commonwealth Land Title Insurance Company.

Originally from northern Vermont, Harry moved to Gettysburg in 1988 and joined a well-established Gettysburg law firm while raising a family with his wife, Janet, and immersing himself in the Adams County community. He has served and currently serves as a director on boards of nonprofits and community service organizations.

George C. Werner

George serves as the firm’s General Counsel. In this role, George is responsible for protecting the firm’s legal interests, maintaining its operations within the scope established by law, and providing guidance on risk management and related liability issues. He also conducts firmwide professional liability training in addition to other tasks.

Prior to serving as General Counsel, George concentrated his practice in complex civil and commercial litigation and risk management for more than 40 years. He assisted clients from the earliest indications of dispute, through trial and appeals if necessary, and frequently consults with clients during transactional matters, in an effort to avoid litigation or to minimize possible damages from litigation. George has tried to verdict or award more than 80 matters in federal and state courts and before arbitration panels. George routinely appears in all Pennsylvania courts and has handled matters in Maryland, New Jersey, New York, Delaware, California, North Carolina and Illinois. Additionally, George frequently corporate investigations in response to allegations of wrongdoing by a company or its officers.

George’s previous substantive areas of practice include patent, trade secret, trademark and unfair competition disputes, contract and business disputes, construction disputes, business torts and fraud claims, lender liability disputes, insurance coverage/ benefits disputes, defamation and commercial disparagement disputes, professional liability claims and defense of catastrophic personal injury claims.

In addition, George regularly presented to business and legal professionals on the litigation-related topics of e-discovery, attorney-client privilege and the work product doctrine, professional conflicts in legal representation, communications with media in litigation matters, and internal investigations.

Intellectual Property/Unfair Competition

George has worked with clients on matters involving Intellectual Property disputes including issues with patent, copyright, trademark, trade dress, trade secrets, confidentiality and non-disclosure agreements, and licensing agreements. Sample representations include:

  • Successfully represented a manufacturer/supplier in the marine construction industry in pursuing a claim of patent infringement in U.S. District Court for the District of Delaware, obtaining both preliminary and permanent injunctions.
  • Successfully represented a high-tech company in pursuing a claim of misappropriation of trade secrets and breach of confidentiality against a former employee.
  • Successfully represented an entrepreneur against claims that he misappropriated trade secrets from a national manufacturer of building products (Jury verdict following two-week trial).
  • Successfully represented a manufacturer/supplier in the automotive aftermarket products industry in pursuing and defending claims of trademark infringement.
  • Successfully represented an assembler/supplier in the equine industry against a claim of patent infringement.

Lender Liability

George has represented lending institutions and banks in situations involving complex commercial financing, consumer loans, sales, leases, and other transactions. Such matters pose unique risks and require a thorough analysis and understanding of the transaction, the bank’s customer and the relevant industry. Sample representations include:

  • Successfully defended financial institution in a five-week trial involving claims of breach of fiduciary duty.
  • Successfully defended banking institution against claim of conversion and unjust enrichment in a non-jury trial.
  • Successfully defended banking institution against claim of fraudulent transfer and improvident lending brought as an adversary action in the bankruptcy proceeding of corporate customer.
  • Successfully resolved lender liability claims against a banking institution following a four-week trial involving claims of bad faith brought by bank customer in connection with a floor plan line of credit.

General Business Litigation

George has represented companies in all facets of commercial litigation and complex business disputes which sometimes includes “bet the company” litigation. Sample representations include:

  • Successfully represented a publicly traded company in connection with a merger/buy-out of minority shareholders, which included claims of breach of fiduciary duty and a statutory appraisal proceeding.
  • Successfully represented a large retail chain in a dispute over premiums and coverage with its health insurer.
  • Successfully represented an international retailer in a contract dispute arising out of the sale of certain operations and facilities.
  • Successfully represented a parts distributor against its insurer in a multi-million dollar fire loss claim.
  • Successfully represented the purchaser of a retail food company in disputes with the previous owner.
  • Successfully represented feed supplier in a dispute with a customer involving claims of substantial damages resulting from allegedly tainted feed.
  • Successfully represented a professional in a dispute by a previous employer attempting to enforce a restrictive covenant.
  • Successfully resolved environmental cost claims brought by current owner of manufacturing facility against former owners, following three weeks of trial. 

Construction Law

George has represented owners, design professionals and contractors in cases involving contract interpretation and disputes, payment/collection actions, bid challenges, change order and liquidated damages claims, construction defects, and construction insurance, indemnification and arbitration contract provisions. Sample representations include:

  • Represented owner in multi-million dollar dispute with contractor and subcontractors arising out of construction of a concrete tank.
  • Represented tenant in multi-million dollar dispute with landlord/owner arising out of construction of building for tenant.
  • Represented architect in multiple claims between owner and various prime contractors arising out of construction of a school.
  • Represented owner in disputes between architect and contractor arising out of construction of a retirement home.

Media Law

George has extensive experience working with and representing communications companies, both print and television media, in libel and privacy matters. He has handled cases involving defamation, public officials, invasion of privacy, intent to inflict emotional distress, right to know, and subpoenas of the press room. George has successfully tried cases involving:

  • Successfully obtained summary judgment for a newspaper in connection with claims brought by two public officials arising out of the reporting of a murder investigation.
  • Successfully obtained summary judgment for a newspaper in connection with claims brought by a public official arising out of the reporting of the official’s actions while in office.
  • Successfully defended a newspaper in a two-week trial against a claim brought by an attorney/private citizen.
  • Represented a newspaper in claims brought by private citizens arising out of the newspaper’s reporting of criminal proceedings against private citizens.

Frederick S. Spangler

Fred Spangler concentrates his practice in tax and estate planning and estate administration, and lectures on these subjects to accountants, trust officers and business owners.

Daniel M. Frey

Dan advises clients in commercial and residential real estate transactions, complex zoning and subdivision matters, business formations and succession planning. His practice involves counseling individuals in estate planning and estate administration and elder law. He has successfully represented numerous clients in zoning matters, land planning and formations of planned community associations and condominium associations, including local and national builders in York, Adams, Franklin, Dauphin and Lancaster counties. He is a licensed real estate title agent for Stewart Title and Commonwealth Title. Dan serves corporate clients across various industries in a general counsel role providing representation on general business, corporate and financial matters while assisting in the coordination of litigation, regulatory compliance and other matters.

Dan’s practice includes assisting clients in the food and agricultural areas on regulatory requirements, transactional needs and compliance with various regulatory requirements applicable to clients. He has coordinated a team of Barley attorneys to represent a buyer in a multi-state $140 million acquisition of agricultural production and processing facilities which included over 17 different sites in two states and which included an $80 million syndicated loan. He has represented food processors, as part of a Barley team of lawyers in the development of a $43 million processing facility, including the issuance of owner and lender title insurance policies. He represents food processors in connection with its grower’s contracts, insuring compliance with the Packers and Stockyard Act. He has assisted agricultural clients in the development of poultry and processing facilities which included assisting with zoning, land development and compliance with concentrated animal feeding operations (CAFO) and assisted agricultural clients in acquisitions and mergers.

Prior to private practice, Dan served as a captain in the U.S. Marine Corp, serving a chief prosecutor for the 1st and 3rd Marine Divisions and also served a military judge. He served as an assistant district attorney for York County, Pa., from 1978 to 1980.

Charles B. Haws

Charles Haws concentrates his practice in environmentalreal estatemunicipal law and food & agribusiness. He provides environmental counseling services on a full range of environmental issues to the firm’s municipal, industrial, and real estate development clients. He assists municipal clients on environmental compliance and permitting matters, both as permittees and with respect to development within their jurisdiction. He works with real estate development clients in issues from due diligence through final land development approval.

Charles counsels clients on all aspects of mineral resource issues, including oil and gas leasing, coal, industrial minerals and bluestone mining, as well as alternative energy projects including wind energy and biofuels projects.  His regulatory background allows thorough representation from negotiation of agreements, permitting and compliance issues, and litigation at local, state, and federal level.

Food & Agribusiness

– He has represented a client in the acquisition of a food processing/residual waste processing facility, including the transfer of all necessary permits and authorizations.

– While at DEP, he handled enforcement actions involving improper storage and disposal of food processing waste.

– He has represented farming clients on enforcement actions and third party appeals involving E&S, NPDES and nutrient management issues.

– He represented farming clients on alternative energy projects including solar systems and biomass power generation.

Prior to joining Barley Snyder, he spent nine years with the Pennsylvania Department of Environmental Protection, Office of Chief Counsel, where he provided litigation and regulatory counseling services to a broad range of programs. He worked closely with public water supply management, coal and industrial mineral mining, waste management, environmental cleanup, emergency response, water quality and laboratory accreditation. He provided counseling to these programs on permitting and regulatory compliance, negotiating compliance, penalty and permitting agreements. He also handled a wide range of appeals and enforcement actions with the Environmental Hearing BoardCommonwealth CourtPennsylvania Supreme Court and the Courts of Common Pleas throughout the state.

Amanda Jabour Kowalski

Amanda is a seasoned attorney with more than 15 years of experience advising clients on financial institution regulation, securities, general corporate law, mergers and acquisitions, and international trade. She brings a thoughtful, business-minded approach to her work, combining deep legal knowledge with a strong commitment to client service. Known for her collaborative style and practical problem-solving skills, Amanda delivers high-quality, strategic counsel that helps clients navigate complex legal and regulatory challenges with confidence. 

Amanda brings her extensive experience in the financial services industry to Barley Snyder’s Business Practice Group. She formerly practiced in the Washington, D.C. office of Paul Hastings LLP, where she advised domestic and foreign banking organizations, non-bank financial institutions, and Fintech companies on a wide range of regulatory, transactional and compliance issues. Amanda counsels financial institutions on all aspects of regulation and compliance, with an emphasis on corporate structuring, control and operations, as well as compliance with the Bank Secrecy Act and anti-money laundering laws, consumer protection regulations, and global data privacy requirements. Additionally, she advises problem banks and represents financial institutions in transactions and matters involving various federal and state bank regulatory agencies, including the Federal Reserve, OCC, and FDIC. Her work on elder financial exploitation issues has been nationally recognized. Furthermore, Amanda stays at the forefront of regulatory changes impacting cryptocurrency and related activities, providing critical legal insights to banks and financial institutions to ensure compliance and mitigate risks in this rapidly developing space.

Amanda also has significant experience in global trade and economic sanctions matters. She represents clients in U.S. national security reviews before the Committee on Foreign Investment in the United States (CFIUS), whose jurisdiction is triggered by certain foreign investments in U.S. businesses. As CFIUS counsel, Amanda helps clients avoid delays that can impede transactions by making the threshold determination as to whether a transaction warrants notifying the U.S. government, and where appropriate, developing declarations and notices. She also advises clients on matters relating to economic sanctions administered by the Office of Foreign Assets Control (OFAC). She is a member of Barley Snyder’s Transportation, Logistics & Trade Industry Group which helps clients navigate the unique challenges facing this sector. 

In addition, Amanda advises clients on a range of business matters. She assists clients with securities compliance, including 1934 Act compliance for public companies. She also counsels clients, including closely-held and family businesses, on transactional matters and corporate governance. She regularly engages with a range of clients on contract drafting, review and negotiation.

In addition to her experience in private practice, Amanda previously worked as in-house counsel at E*Trade Bank and as a law clerk at the U.S. Federal Trade Commission, where she reviewed proposed mergers for anticompetitive issues.

A native of Lancaster County, Amanda attended the University of Pennsylvania and received her law degree from the George Washington University Law School. She currently serves as Board President the Lancaster Law Foundation, which promotes equal access to justice for all in the community by funding public interest law projects, delivering pro bono service and educating the public on civic and legal issues.

Abby Medin Tucker

Abby is an attorney in the firm’s BusinessReal Estate and Transportation, Logistics & Trade groups. She takes a pragmatic, client-first approach to the practice of law, prioritizing clear communication and effective, results-driven solutions. Abby believes that truly understanding her clients – their goals, challenges and priorities – is essential to providing meaningful legal guidance. By building strong relationships and demystifying complex legal issues, Abby works to streamline processes and avoid unnecessary complications. With a solid foundation in both legal principles and the technology that powers modern legal practice, she delivers efficient, forward-thinking service tailored to each client’s unique needs.

In her business practice, Abby advises clients on all aspects of their business, ranging from entity selection and formation to succession planning. Abby counsels public and private entities – including closely held and family-owned businesses – on mergers, acquisitions, corporate governance, shareholder buyouts, and a variety of other transactional matters. She regularly engages with clients on general business issues including contract drafting, review and negotiation. In particular, Abby has extensive experience reviewing vendor, supply and services contracts, giving her a strong foundation for advising businesses on the agreements they rely on every day.

A large portion of Abby’s practice is assisting clients with mergers and acquisitions, including both stock and asset transactions, as well as reorganizations. Her work in the mergers & acquisitions arena touches on many different industry sectors, including companies in the technology, health care, manufacturing and professional service sectors. Abby also regularly advises family-owned businesses, bringing a thoughtful approach to the unique dynamics and sensitivities those deals often present. In addition, she works frequently with private equity investors as part of her mergers and acquisitions practice. Abby has actively worked on a wide variety of deals and structures, including complex earn-outs and management buy-outs.

In her transportation and trade practice, Abby delivers sophisticated and practical advice to clients in a broad range of industries on both domestic and international regulatory and commercial matters, with the aim of minimizing supply chain disruptions and avoiding costly penalties, sanctions and shipping delays. She closely monitors developments in tariff policy and provides strategic guidance to businesses navigating the challenges and opportunities that come with shifting trade regulations.

Furthermore, Abby brings valuable experience in planning and executing real estate transactions which complements her broader business practice. She advises clients on the acquisition, financing, and disposition of commercial and residential properties, providing practical, deal-focused guidance at every stage.

Before joining the firm, Abby clerked for Chief Judge Leonard P. Stark of the U.S. District Court for the District of Delaware. Abby also previously practiced environmental law, where she represented clients in administrative negotiations with government agencies, advised clients regarding compliance and permitting under federal and state environmental regulations and assisted with litigation of environmental claims.

Abby and her family live in Hershey and enjoy spending much of their free time in its family-friendly hot spots.
