The members of our Tax Group counsel and represent clients on a wide range of matters in business transactions, tax controversy, advocacy and litigation, legislative and regulatory activities, financing activities, deferred and executive compensation, tax planning, international taxation, state and local taxation, asset protection, succession planning, foundations, and tax-exempt organization matters.
We advise publicly traded companies, private entities and their owners on the federal, international, state and local tax implications of mergers, acquisitions, sales, and other transactions. Our services encompass business transaction planning, succession planning and dispute resolution, administratively, such as before the Internal Revenue Service, the various state and local administrative agencies and the courts, including the Tax Court.
At its foundation, our tax practice has solid technical expertise, close familiarity with business practices and developments, a strong ability to deal with government officials and an inter-disciplinary, collaborative, team-oriented approach on issues. Our tax attorneys have substantial experience utilizing sophisticated and creative tax-based financial opportunities through partnerships, limited liability companies, joint ventures, Subchapter S corporations, real estate investment trusts (REITs), leveraging, leases, like-kind exchanges, and other vehicles from a perspective of federal, international as well as state and local taxes.
We work closely with private investors and owners of closely-held businesses on personal, estate, asset protection and financial planning matters to minimize tax burdens and maximize wealth. Our attorneys advise individuals on tax issues and implement customized tax planning strategies, often relating to their ownership interests in various types of business entities. This includes identifying the best methods to motivate and compensate company executives and employees by offering integrated compensation and benefit plans that maximize tax-savings opportunities.
Our state tax practitioners have a breadth of experience in advising clients on corporate net income and capital stock/franchise taxes, sales and use taxes, utility gross receipts and real estate taxes, personal income taxes, financial institution taxes, insurance premiums taxes, and realty transfer taxes and are at the forefront of developing creative planning techniques to alleviate state and local tax burdens. We provide counsel on local tax matters which have become the subject of more aggressive collection efforts. We assist our clients with these local taxes, including real property taxes and business privilege and mercantile license taxes.
